Elon Musk and Twitter set to begin court proceedings over botched takeover in October

Today’s hearing will be just the first step in what could be a lengthy legal fight.

TWITTER AND ELON Musk were ordered today to trial in October over whether the Tesla chief can be forced to complete his $44 billion deal to buy the social network, an early win for the uncertainty-wracked platform.

A judge in the eastern US state of Delaware ruled against Musk’s push for a February date, while hewing closely to Twitter’s desire for an expedited schedule.

Billions of dollars are at stake, but so is the future of the platform that Musk has said should allow any legal speech, an absolutist position that has sparked fears the network could be used to incite violence.

“We urge the court to enter a prompt schedule and give multiple grounds for that,” Twitter lawyer William Savitt argued, noting “the continued uncertainty caused by Musk’s purported termination inflicts harm on Twitter every day, every hour of every day.”

Musk’s team had argued fiercely against an expedited trial date, saying Twitter’s preferred date in September was simply too fast for such a complex matter.

The judge did not set an exact date, leaving it to the parties to converge on the timing.

Twitter lawyers noted the deal is supposed to close toward the end of October, just six months after Musk launched an unsolicited bid that the company’s board first resisted but then supported.

The world’s richest person has backed away from the deal in recent months as tech stocks have tumbled, and Twitter’s value has fallen well below the $54.20 per share he offered.

Legal fight ahead

Rather than Silicon Valley, where Twitter is based, the company has lodged its lawsuit against Musk in Delaware.

The firm is incorporated in the tiny state like scores of other companies, and the case will be heard in the Delaware Chancery Court, which has deep experience in business disputes.

“The Chancery Court, which handles most of these matters, is very expert in corporate law, and more particularly, mergers and acquisitions. So this is the place to go,” said Carl Tobias, a University of Richmond law professor.

Kathaleen McCormick, the judge overseeing the case, comes with a no-nonsense reputation.

She also reportedly has the distinction of previously ordering a reluctant buyer into completing a corporate merger.

A forced closing of the Twitter deal is a scenario that some analysts consider possible.

“(Wall) Street and legal experts across the board view Twitter as having a ‘strong iron fist upper hand,’ heading into the Delaware court battle after months of this fiasco and nightmare,” analyst Dan Ives wrote last week.

He also noted that less likely options include Musk paying a $1 billion breakup fee and being able to walk away, or winning outright on his fake-account argument.

After pausing the deal in May, Musk’s lawyers announced in July he was “terminating” the agreement because of skepticism over Twitter’s false or spam accounts tally and allegations the firm was not forthcoming with details.

Today’s hearing will be just the first step in what could be a lengthy legal fight that could end in a trial, but also a settlement.

“Musk has shown his willingness to take things all the way to the end in Delaware court,” said Adam Badawi, a University of California at Berkeley law professor.

“I think settling is not necessarily his instinct.”

    @Batster: The premiership and the success of the Irish team in the late 80s and 90s had a part to play I reckon. the best irish players playing for some of the best teams in England.
    Before that I’ve heard stories of 30/40 thousand people being crammed into flower lodge which is now paric rinn in cork. George Best played a game or two for Cork Hibernian I think , there was no matches on TV only motd for the people that had a TV or BBC.
    It’s better quality football now and marketed far better than any league in the world so that’s why we all have an interest in the premiership.

    @Batster: The premier league is hugely supported across the entire planet. It’s not just here. We just happen to be situated right beside it. The league of Ireland is so far away from it that you could do both. But the stadiums in the LOI are awful. They are decrepit and half of them probably should be condemned. You will be standing out in the wind and rain in most of them if the weather is bad never mind the toilet facilities etc. these would be big reasons that people are put off going.

    Yes. Love it. League 1 or premier, it doesn’t matter. 16 or 20 euro a ticket and a good night out on a Friday. Honestly, great atmosphere. Final yesterday was a cracking game. Congrats to Pats, deserved it in the end. Up the BOHS

    Been to see Liverpool in Anfield 16 or 17 times down the years, but nothing gives me the enjoyment of being in Richmond Park on a Friday night. Brilliant to see all the new faces at games now, especially the younger generation. For anyone who is yet to try the League of Ireland I would say just give it a go…it’s a fantastic night out.

    @Tom Newell: There are plenty of LOI fans that watch both the english and Irish leagues, but in my opinion, you can’t really call yourself a true fan of football when you opt to just watch football on the telly when you have the option to support your own club in a live setting

    @Gavin Gray: I went as a kid and I’ve started going again recently. One of the reasons I stopped was because of the arrogance and crappy attitude of fans like you Gavin.

    You have a league that was basically slowly dying for years and half the fanbase resented anyone who might want to take a passing interest because they weren’t a die hard day 1.

    I was questioned like an escaped convict as a 12yo because I was overheard talking about a Liverpool game during a boring passage of play. Asking me to name the players on the team to prove I was a “real fan”. Didn’t attend another game for over 15 years.

    Thankfully the games seem more welcoming to new and casual fans these days.

    You have to build a love for a team. Criticising anyone who isn’t a die hard immediately won’t help build a fanbase.

    @Deano: would love to attend those Dublin derby games Bohs Rovers Pats Shels etc. ..but being from kerry it would cost an arm and a leg.Youre looking at £1000+ now for a weekend in Dublin.So I can see the attraction of Manchester Liverpool etc..

    @Jimmy Wallace: that’s it in a nutshell jimmy. Been a united fan all my life and only went to my first loi game in my twenties. But soon fell in love with it and my club, bohs. Every friday night with my brother and friends, seeing the same faces around dalyer and having the craic. Magic.

    Not a league match, but I was hired to carry out the plinth for the Cup Final in 2006. We could clock off as soon as the cup was awarded. We didn’t get our overtime!

    Went to Milltown a bit as a “culchie” student in Dublin in the late 80′s. Been to a decent few games over the years since then in Athlone, Kilkenny, Kildare, Pats, Bohs.
    Never saw a rugby game in my life though! Gaelic football still my preference, shite and all as some of the games are!

    They should move the fixtures to a more accessible time. A lot of 8-9pm fixtures which makes it a challenge for families and grassroots players to attend.
